This Privacy Policy applies to GENDA Americas, Inc. and its subsidiaries, affiliates and/or other related entities (collectively, "GENDA Americas" or "our" or "we" or "us"). The purpose of this Privacy Policy is to inform our visitors, guests, business customer representatives, job candidates and other individuals with whom we deal (collectively, "you" and "your") how we collect, use, share and protect your Personal Information.

To the extent that there is a conflict between this Privacy Policy and the Privacy Notice for California Residents, the Privacy Notice for California Residents will prevail with respect to California Residents (as defined below) only.
This Privacy Policy applies to information GENDA Americas collects through the Websites, as well as other information provided to us online or offline by third parties, when we associate that information with customers or users of the Websites. However, it does not apply to information collected from our employees, contractors, or vendors. It also does not apply to information that you ask us to share with third parties or is collected by API Providers (as further described below). You acknowledge and agree that GENDA Americas is not responsible for the data collection or use practices of any other user of the Websites.

DEFINITION OF PERSONAL INFORMATION
In this Privacy Policy, “Personal Information” means any information that can be used, either alone or in combination with other information, to identify an individual or that can be reasonably linked to an individual. Personal Information includes information such as your name, mailing address, e-mail address, and telephone number.
Personal Information may also include other types of more technical information such as IP addresses, geolocation, the device you use to access our Websites and details on your usage of our Websites, but only when this information can identify you as an individual. “Non-Personal Information” means information that is anonymized and/or cannot be associated with an identifiable individual. Non-Personal Information is not Personal Information.
PERSONAL INFORMATION WE COLLECT DIRECTLY FROM YOU
GENDA Americas and its employees, agents, contractors, service providers, partners and representatives may collect Personal Information from you to operate our business in the normal course, including:
- Contact Information (e.g. name, address, telephone number or e-mail address);
- Credit or Debit Card Information (e.g. when purchasing products or services);
- Information relevant to a particular service you request (e.g. your company information);
- Survey Responses (e.g. when you provide your name in order to take advantage of various benefits for participating in a survey, or when you consent to us contacting you about your comments and feedback);
- Preferences and other Personal Information provided by you on our Websites (e.g. including but not limited to products you are interested in, purchase history, company information);
- Credit Card and other information provided for the purchase of services or products (e.g. your name, your credit card number, expiry date and 3-digit CVS code).
- Job Applications (e.g. such information as you provide to us when you apply for a job: (i) by sending us a resume; (ii) by submitting a job application on our Websites; or (iii) by submitting a job application through a third-party Website. All Personal Information and applicant information provided by you and during the application process must be true, complete and correct to the best of your knowledge. Any misrepresentation or omission of facts may result in refusal to hire or, if hired, may result in your dismissal at any time regardless of when the false answer or omissions are discovered. Please do not include any sensitive information in your application, such as unique identifiers (such as social insurance numbers) or financial information.
Our Websites may integrate with social media platforms or other technology providers, for example Facebook or Twitter, such as by using their authentication services or allowing you to
follow our account on each platform (collectively, “Social Media”). When you connect a Social Media account to our Websites, we may collect information about that Social Media account and share information with that Social Media account as described in the connection process. This collected information may include, but is not limited to, your name, email address, demographic information from your profile, friend lists, postings or other content, and your profile picture. You acknowledge and agree that GENDA Americas is not responsible for the data collection or use practices of any Social Media platform. You should read each Social Media platform’s privacy policy before connecting that social media account.
Personal Information and Non-Personal Information collected by the Websites may be collected by us or one of our Service Providers (as further described below), API Providers.
PERSONAL INFORMATION WE COLLECT AUTOMATICALLY
In some cases, we may collect Personal Information or Non-Personal Information automatically. For instance, we may collect the following type of information:
Video Surveillance. As a security measure and to ensure the safety of our properties, we use video surveillance technology at our physical locations.
Technical Information. When you browse the Internet Personal Information and Non-Personal Information is automatically collected about an individual’s use of the internet. This information may be associated with an individual’s Internet Protocol ("IP") address. An IP address is a unique identifier which is assigned to all Internet users by their Internet Service Provider ("ISP"). Our server logs record usage and statistical information, such as visitors' IP addresses, type of operating systems, time and duration of visit, webpages requested, as well as identifying categories of visitors by items such as domains and browser types. We may also track devices which have communicated with our Wi-Fi systems at our physical locations.
Cookies. Our Websites may make use of both "session " and "persistent" cookies or similar technologies. Cookies are small text files placed on your computer by web servers to store Personal Information and Non-Personal Information as you navigate the site. Persistent cookies are stored on your hard drive. Session cookies are stored in temporary (cache) memory and are deleted when you shut down your browser or turn off your computer. We may use these cookies or similar technologies to store your preferences, record session information such as language preferences, record user-specific information on what pages you access or visit, develop information about your preferences and interests, alert you to areas that we think might be of interest to you when you return to our site, record past activity in order to provide better service when you return to our site, help rotate banner advertising so as to ensure that visitors are not repeatedly sent the same banner ads, and customize content based on your browser type or other information you provide. For each visit to our Websites, cookies or similar technologies may be used by our server to recognize you where you have indicated your preference to be automatically logged in. Interest-Based Advertising. Our Websites may also use cookies and similar tools for tailored interest-based advertising purposes. These cookies and tools may be placed by us, or by our advertising partners. When you make use of our Websites, we may collect Personal Information and Non-Personal Information, such as information about the device you are using, including (as applicable) your Internet, telecom or mobile carrier and service provider, IP address, device ID, the date and time of your visit, the pages of the website you visit, the features of the Website that you use, and the referring URLs you came from. Our Websites may also make use of use pixels, or transparent GIF files (sometimes called “beacons”), to help manage online interest-based advertising. These pixels may be provided by our advertising management partners. These files enable us to recognize a unique cookie or code on your web browser, which in turn enables us to learn which advertisements bring users to our website, and track and report on the actions of users of our website.
You may opt-out of interest-based advertising. To learn how to opt-out, see the below in this Privacy Policy. If you opt-out of interest-based advertising by a third party, these technologies may still collect data for other purposes, including analytics, and you may still see ads across the Internet, but the ads will not be targeted based on information about you, and may therefore be less relevant to you and your interests.
Interest-based advertising opt-outs work by saving cookies in your web browser that tell the various advertising management partners that you have opted-out. Because cookies are generally browser-specific, your choice will only apply to the web browser from which you opt-out. You must opt-out from each web browser from which you do not want interest-based advertising (and this may involve different devices, if you use more than one).
An API Provider (as defined below) may collect information automatically, in which case Personal Information and Non-Personal Information it receives are subject to the API Provider’s privacy policy. Some API Providers may allow you to opt out of certain collection and/or uses of your information.
We may also collect user experience recordings, which reproduce your interactions with the Websites, including mouse movements, page scrolling, and information you type (including Personal Information), screen taps, and other actions you take while using the Websites. Recordings may include technical and usage data, as well as visual representations of actions you take while using the Websites. We use these recordings to help us understand how users interact with our Websites and to design a better user experience for you. You consent to our collection and use of user experience recordings.
You may choose not to provide Personal Information or prevent the Websites from accessing certain features of your mobile device, (subject to the controls offered by your mobile device’s operating system), but this may prevent you from receiving certain features of the Websites.
We also collect Non-Personal Information relating to the Websites. The Non-Personal Information we collect includes how you interact with the Websites, information generally collected or “logged” by Internet websites or Internet services when accessed or used by users, and information about your web browser or device accessing or using the Websites.
We will not use Non-Personal Information to try to identify you, and if we associate any Non-Personal Information with information that personally identifies you, then we will treat it as Personal Information. As discussed in more detail below, we sometimes use cookies and other automatic information gathering technologies to gather Non-Personal Information.
USE OF YOUR PERSONAL INFORMATION
SMS opt-in consent or phone numbers for SMS purposes will NOT be shared with third parties and affiliates for marketing purposes.
We may use your Personal Information and Non-Personal Information to:
- Assist us in providing, operating, maintaining, and protecting the Websites and our information technology systems;
- Set up, maintain, and protect accounts to use the Websites;
- Improve our online or offline operations;
- Process transactions and fulfill orders;

- Evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all or our assets and properties, in which personal information held by us about our services is among the assets and properties transferred.
WHEN YOUR PERSONAL INFORMATION IS SHARED
We do not sell your Personal Information, but we may share your Personal Information with third parties to facilitate the operation of our business as described below.
We may disclose Personal Information to provide the Websites, or when you authorize or instruct us to do so, for example when you use the Websites to submit content or profile information. The Websites are a social experience, so we may disclose your interactions with the Websites to Social Media platforms, as described above.
We may also disclose Personal Information and Non-Personal Information to Service Providers. By “Service Providers” we mean companies, agents, contractors, service providers, or others engaged to perform functions on our behalf (such as processing of payments, provision of data storage, hosting of our website, marketing of our products and services, and conducting audits). When we use a Service Provider, we require that the Service Provider use and disclose the Personal Information and Non-Personal Information received from us only to provide their services to us or as required by applicable law.
We may also disclose Personal Information and Non-Personal Information to API Providers. By “API Provider” we mean a licensor of software that we include in, or use with, the Websites, including an application programming interface (“API”) or software development kit (“SDK”), that provides a specialized function or service to us and that requires the transmission of Personal Information and/or Non-Personal Information to the API Provider. API Providers may have the right to use Personal Information and Non-Personal Information about you for their own business purposes. Use and disclosure of Personal Information and Non-Personal Information by an API Provider is described in its privacy policy.
We may partner with advertisers to provide you with contests, sweepstakes or special offers, or to advertise products or services to you. If you redeem or respond to an offer, we may provide your Personal Information to the advertising partner, including your name, email address, gender, and year of birth. If you answer questions or fill out surveys from an advertiser, we may share information with that advertiser. The advertising partner’s privacy policy will govern their use of your information, which may include marketing of other products or services to you. You should read each advertiser’s privacy policy before providing information to that advertiser.
Your Personal Information may be disclosed to our parent, subsidiary, affiliated and/or related corporations or entities, or to their employees and Service Providers for operational, management and administrative purposes, as well as internal audit, legal, regulatory, security, insurance, financial, processing and other purposes, or as otherwise permitted or required by law.
We reserve the right to transfer information (including your Personal Information) to a third party in the event of a sale, merger, or transfer of all or substantially all of the assets of our company relating to the Websites, or in the unlikely event of a bankruptcy, liquidation, or receivership of our business. We will use commercially reasonable efforts to notify you of such transfer, for example via email or by posting notice on our Website.
We may also disclose your Personal Information to third parties when we believe, in good faith and in our sole discretion, that such disclosure is reasonably necessary to (a) enforce or apply the terms and conditions of the Websites, including investigation of potential violations thereof, (b) comply with legal or regulatory requirements or an enforceable governmental request and/or as necessary to fulfill our legal obligations under applicable law including laws outside your province, territory, state, or country of residence, (c) protect the rights, property or safety of us, our users or other third parties, (d) prevent a crime or protect national security, or (e) detect, prevent or otherwise address fraud, security or technical issues.
All GENDA Americas employees and Service Providers who have access to your Personal Information are required to protect the information in a manner that is consistent with this and any other policy and/or procedure, in effect from time to time.
Lastly, we may also disclose Non-Personal Information, aggregated with information about our other users, to our clients, business partners, merchants, advertisers, investors, potential buyers and other third parties if we deem such disclosure, in our sole discretion, to have sound business reasons or justifications.

Regarding External Links: As a convenience to you and other visitors to the Websites, the Websites contain links to a number of third-party Websites or third-party webpages. These third-party Websites and webpages are not owned or controlled by GENDA Americas and this Privacy Policy does not apply to such Websites or webpages. Should you decide to navigate to any Websites or webpage external to the Websites, you do so entirely at your own risk. The content on third party Websites or webpages, as well as any external links on this Websites, is not investigated, assured, guaranteed, verified, monitored, recommended or endorsed by GENDA Americas. GENDA Americas provides these links merely as a convenience to you and to other visitors to this Websites, and the inclusion of such links does not imply that we endorse or recommend such Websites or webpages. We specifically disclaim any liability, obligation or responsibility whatsoever for the content or use of such third-party Websites or webpages.

YOUR RIGHTS WITH RESPECT TO YOUR PERSONAL INFORMATION
You have certain rights with respect to our management of your Personal Information. These rights include:
The right to request access to, or correction or change of, your Personal Information in our custody or control.
The right to request information about how we have used and/or disclosed your Personal Information.
The right to withdraw your consent, unsubscribe from certain communications or delete your Personal Information (please refer to the section of this Privacy Policy titled “Right to Withdraw Consent/Unsubscribe/Deletion Requests for more information). RIGHT TO WITHDRAW CONSENT / UNSUBSCRIBE / DELETION REQUESTS
You may withdraw your consent to our collection, use, and disclosure of your Personal Information at any time, subject to legal and/or contractual restrictions and by providing us with reasonable notice, as summarized below.
Receiving e-mail from us is optional when you register. If you initially choose to receive e-mail from us, but subsequently choose not to receive e-mail from us, please follow the unsubscribe instructions on the Websites, in our e-mail or contact us as indicated at the beginning of this Privacy Policy. Please note that it may take up to ten (10) business days for your opt-out request to be processed. Also, even if you opt out of marketing e-mails, we may continue to send you certain account-related e-mails, such as notices about your account and confirmations of transactions you have requested.
If you provide us with your mailing address, you may receive periodic mailings from us, or our business partners, with information on new products and services or upcoming events. Website Information
If you have an account on the Websites, you may update and delete your Personal Information, through the Websites or you may contact us as indicated at the beginning of this Privacy Policy. You may also close your account and delete all Personal Information in that account.
Additionally, you may request access to your Personal Information by contacting us. We will try to locate and provide you with your Personal Information and give you the opportunity to correct this data, if it is inaccurate, or to delete it, at your request.
We ask individual users to identify themselves and the information requested to be accessed, corrected, or removed before processing such requests, and we may decline to process requests that are unreasonably repetitive or systematic, require disproportionate technical effort, jeopardize the privacy of others, would be extremely impractical (for instance, requests concerning information residing on backups), or relate to information that is not associated with your Personal Information. Do Not Track
We support the development and implementation of a standard "do not track" browser feature that provides customers with control over the collection and use of information about their web-browsing activities. Please note that these rights are subject to certain restrictions in accordance with applicable laws and we may take reasonable steps to verify your identity before responding to your request. Additionally, you may not be able to continue to use the Websites if you delete your Personal Information. Even if you request that we delete your Personal Information, we may need to retain certain Personal Information for a limited period of time to satisfy our legal, audit and/or dispute resolution requirements.
SECURITY, RETENTION AND DESTRUCTION OF PERSONAL INFORMATION
We endeavor to protect your Personal Information using physical, electronic or procedural security measures appropriate to the sensitivity of the information in our custody or control, including safeguards designed to protect Personal Information against loss or theft, as well as unauthorized access, disclosure, copying, use, or modification. We may keep and use information about you for as long as it is needed for the purposes set out in this Privacy Policy or to otherwise meet our legal obligations, even if you are no longer a customer. Personal Information that is no longer required to fulfill the identified purposes will be destroyed, erased or made anonymous in compliance with our internal retention policies and procedures.

Therefore, while we strive to use commercially acceptable means to protect your Personal Information, we cannot guarantee its security. You transmit or provide all Personal Information entirely at your own risk.
CONSENT TO TRANSFER OUTSIDE OF YOUR PROVINCE AND/OR COUNTRY OF RESIDENCE
GENDA Americas' Websites are operated on equipment located in the United States and Canada. If you are located in the United States of America, European Union, elsewhere outside Canada or within the Province of Quebec, please be aware that any information you provide to us will be transferred to Canada and/or to another province within Canada, but outside of Quebec and/or to different states, regions, and/or territories of the United States. Your Personal Information may in some cases be transferred to jurisdictions outside your province, states, territories, and/or country of residence, for example to a third-party service provider located in another jurisdiction. This means your information may be accessible to foreign law enforcement, courts, or national security authorities under local legislation (such as the U.S. Patriot Act). As a result, you understand that your Personal Information will be subject to the laws of other jurisdictions than your province, states, territories, and/or country of residence and may be available without notice to you to foreign government authorities under lawful orders and laws applicable in such jurisdictions. Please note that the Personal Information which you provide to us will be held and used in accordance with such U.S. laws, Canadian federal or provincial laws as exist from time to time, and as are applicable.

Quebec Specific for Protection Standards: Before transferring any data across borders, we conduct a Privacy Impact Assessment to ensure your information receives adequate protection. We use strict contractual agreements to ensure that any third-party service provider handles your data with the same level of security required under Quebec’s Law 25 and Canadian federal law.
RESIDENTS OF CERTAIN U.S. STATES
You may have heard of certain state laws including California Consumer Privacy Act (CCPA), California Privacy Rights Act (CPRA), the Virginia Consumer Data Protection Act (CDPA), Colorado Privacy Act (CPA), Utah Consumer Privacy Act (UCPA), and Connecticut Data
Privacy Act (CTDPA) which provide certain rights to California, Virginia, Colorado, Utah, and Connecticut residents in connection with their Personal Information. We do not sell your Personal Information. However, you may contact us at using the information below in the Access, Correction, and Contacting section with questions.
NOTE TO PARENTS/CHILDREN'S PRIVACY
Protecting children's privacy is important to us. For that reason, we do not collect information on our Websites from any individual who we actually know is under 14 years of age. In addition, no part of our Websites are targeted to attract anyone under 14 years of age. We request that children under 14 years of age do not disclose or provide any Personal Information to us. If we discover such information, we will delete the child's Personal Information from our records. If for any reason we believe a user may be under the age of 14 we reserve the right to request proof of age of such user. If such proof is not provided, or if it is discovered a user is under the age of 14 all Personal Information of that user shall be deleted from our servers and associated systems and we reserve the right to limit and/or ban such user from our Websites. This Privacy Policy may be revised with or without prior notice from time to time as GENDA Americas deems necessary or advisable in its sole discretion. You can always check the “Effective Date” date at the top of this document to see when the Privacy Policy was last changed. If we make any material changes to this Privacy Policy, we will notify you by reasonable means, which may be by e-mail or posting a notice of the changes on our website prior to the changes becoming effective. We encourage you to check this Privacy Policy from time to time.
